REAL ESTATE

We represent clients during the purchase, sale, refinance and leasing of residential and commercial properties. Legal services include closings, drafting the Leasing Agreement or Contract of Sale, reviewing the financing requirements, negotiating due diligence inspections, drafting transaction documentation and appearing before local municipal agencies to obtain necessary approvals.

ESTATE PLANNING AND ADMINISTRATION

We provide advice on wills, and draft living wills, powers of attorney, and trusts, including Irrevocable Life Insurance Trusts. We advise clients on the proper allocation of assets in order to minimize taxes while maximizing the size of the estate passed to heirs. We analyze personal and financial data, recommend alternative distributions of assets, suggest gifting techniques and review the tax consequences of particular planning decisions.

We advise clients during the estate administration, including probating the last will & testament, preparing surrogate court filings and tax returns.

FAMILY LAW

Our Family Law Department offers a full complement of matrimonial services in such areas as divorce, annulment, civil union law, adoption, alimony, child support, division and distribution of property and liabilities, custody and parenting time, removal or prevention of removal of children from the state and country (including Hague Convention matters), grandparent visitation, cohabitation/palimony, domestic partnerships, prenuptial agreements for marriages and civil unions, post-judgment disputes, and domestic violence.

We also offer mediation services to parties whether the matter be pre-litigation or post judgment.

COMMERCIAL LAW

We represent small and medium sized closely-held companies. Our services cover the formation or purchase of the business through the dissolution of the business. We negotiate and prepare agreements with third parties, such as leases, contracts, and joint ventures. We also assist clients in negotiations with banks, commercial lenders and state and federal agencies.

We advise clients on in-house corporate matters and prepare internal business documents, including employment contracts and partnership, operating and shareholder agreements. In addition, we prepare the governing documents, annual minutes and required State filings necessary to maintain the corporate entity.
